Terms and Conditions

Effective Date: April 15, 2025

These Terms and Conditions ("Terms") govern your use of Invoice Clarity ("we", "our", or "us") and its related services, including our website and applications ("Service"). By accessing or using Invoice Clarity, you agree to be bound by these Terms.

1. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must be at least 18 years old to use the Service.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree not to share your account with others or impersonate another user.

2. Account Registration

To access certain features, you must register for an account and provide accurate and complete information. You are responsible for keeping this information up to date.

3. Subscriptions and Billing

We use Stripe to manage subscriptions and billing. By subscribing, you agree to the terms provided by Stripe and authorize us to charge your payment method.

If your subscription payment fails or your account is inactive for a prolonged period, we reserve the right to suspend or terminate access.

4. Data Usage and Storage

We do not store your financial or invoice data. Your accounting data is accessed securely from third-party services like Xero and processed in real-time only.

We do store encrypted credentials necessary to connect your account to third-party platforms, and we store certain personal and configuration data (e.g., name, email, company details, Stripe subscription ID) required to operate the Service.

By using the Service, you grant us permission to access and process your accounting data to generate reports and visualizations.

5. Termination

You may delete your account at any time through your dashboard or by contacting support. Deleting your account will permanently remove your access and erase associated data, including Xero connections.

We reserve the right to suspend or terminate your access to the Service at any time if we believe you are violating these Terms or misusing the platform.

6. Intellectual Property

All content and materials provided through the Service, including branding, designs, and functionality, are the property of Invoice Clarity or its licensors. You agree not to reproduce, distribute, or create derivative works without our written consent.

7. Disclaimers and Limitation of Liability

The Service is provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the accuracy, reliability, or availability of the Service.

To the fullest extent permitted by law, we are not liable for any damages resulting from your use or inability to use the Service, including lost profits, lost data, or business interruption.

8. Modifications to Terms

We may update these Terms from time to time. If we make significant changes, we will notify you via email or within the app. Continued use of the Service after such changes constitutes acceptance of the updated Terms.

9. Governing Law

These Terms are governed by the laws of the United Kingdom. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in England and Wales.
